1. Identity and application
Welcome to Astro Rent. These terms and conditions apply to all services offered by Visuasoft BV (hereinafter "Astro Rent" or "we/us") under the name of Astro Rent.

2. Definitions
- Services: all products and services offered by Astro Rent, including but not limited to the installation and maintenance of temporary networks for all kinds of events and the rental of the goods required for this purpose, including routers, network switches and WiFi access points.
- Client: any natural or legal person who enters into an agreement with Astro Rent for the use of the Services.
- Agreement: any agreement concluded between Astro Rent and the Client, any amendment or addition thereto, as well as all (legal) acts in preparation for and execution of that agreement.
3. Applicability
- These terms and conditions apply to all quotations, agreements and deliveries of services or goods by or on behalf of Astro Rent.
- Deviations from these conditions are only valid if they have been expressly agreed in writing between Astro Rent and the Client.
- Astro Rent and the Client expressly exclude the applicability of the Client's terms and conditions or those of others.
4. Service description
Astro Rent specialises in providing temporary network solutions, including WiFi and internet connections, tailored to each event.
Preparation
Each installation is carefully prepared on the basis of a detailed design tailored to the unique requirements of the event and the location. Astro Rent works closely with the Client to ensure that all technical and operational needs are mapped out and incorporated into the network design.
Installation
At an agreed time, our expert team ensures a smooth installation of the network, fully in line with the previously agreed design. We aim for minimal disruption to the event setup and ensure a fast and efficient installation.
On-site presence
The Client has the option of having an Astro Rent staff member on site during the event for continuous support. This service includes direct technical assistance and network management to guarantee optimal network performance.
Dismantling and clean-up
After the event, Astro Rent provides professional dismantling and clean-up of all installed equipment and network infrastructure. Except in cases of force majeure, we ensure the location is left in its original state, without any damage or unnecessary nuisance.
Use of the service
- The Client is encouraged to involve Astro Rent early in the planning of their event to ensure an optimal network solution.
- It is the Client's responsibility to inform Astro Rent in a timely and complete manner of all relevant aspects of the event and the location that may affect the network installation and performance.
- Use of the networks provided by Astro Rent must comply with all applicable laws and regulations. Illegal use of the networks is expressly prohibited.
5. Target audience and applications
Astro Rent offers tailor-made temporary network solutions, specifically designed to meet the needs of events where a reliable network is essential but unavailable or unstable.
- Events and festivals: to support ticket scanning, communication between crew, and other essential operational needs.
- Pop-up stores: where a reliable internet connection is necessary for transactions and inventory management.
- Trade shows: to provide exhibitors and visitors with high-quality network connections for presentations, payments and interactive experiences.
- Business events: including conferences, livestreams and online interaction.
6. Offers and quotations
- All offers and quotations from Astro Rent are without obligation, unless a period for acceptance is stated in the quotation.
- An offer or quotation is valid for a maximum of 1 month, unless another period is stated.
- If the Client does not accept an offer or quotation within the applicable period, the offer or quotation lapses and no rights can be derived from it.
7. Acceptance
- Upon acceptance of a non-binding offer, Astro Rent may still withdraw the offer within 5 days of receiving the acceptance, without the Client being able to derive any rights from this.
- Oral acceptance by the Client only binds Astro Rent after the Client has confirmed it in writing or electronically.
8. Prices
- Astro Rent uses prices in euros, including VAT and excluding any other costs such as administrative or shipping costs, unless otherwise agreed in writing.
- Increases in the cost prices of products or parts thereof, which Astro Rent could not foresee at the time of the offer or the conclusion of the agreement, may give rise to price increases.
- The Client may cancel the agreement due to such a price increase, unless the increase is the result of a statutory regulation.
- The price is calculated according to Astro Rent's usual hourly and rental rates applicable for the period in which the work is carried out, unless otherwise agreed in writing.
- When Astro Rent and the Client agree on a total amount for a service, this is always an indicative price, unless otherwise agreed in writing. Astro Rent may deviate from the indicative price by up to 15%.
- Astro Rent must inform the Client in good time why a higher price is justified when the indicative price will be more than 15% higher. The Client may waive the part of the assignment that exceeds the indicative price (increased by 15%).
9. Payment and payment term
- Astro Rent may require a down payment of up to 50% of the agreed amount when entering into the agreement for a service.
- The Client must pay invoices within 1 month of the invoice date, unless otherwise agreed or another payment term is stated on the invoice.
- The payment terms stated are strict deadlines. If the Client has not paid by the last day of the term, they are automatically in default, without Astro Rent having to send a reminder or notice of default.
- If the Client is a consumer, they receive one free notice of default in the form of a first reminder, in accordance with the procedure provided for in Book XIX "Consumer Debts" of the Code of Economic Law.
- In the event of non-payment, the following are due: (i) a fixed indemnity of 10% of the amount concerned with a minimum of EUR 100.00 (excl. VAT), with interest of 1% per month; (ii) default interest equal to the statutory interest increased by 1%, with a minimum of 10%, whereby each month started counts as a full month; (iii) all judicial and extrajudicial collection costs.
- Invoices can only be validly disputed in writing within 7 calendar days of the invoice date, stating the invoice date and number and a detailed justification.
- Unconditional payment of (part of) an invoice amount constitutes express acceptance of the invoice. Partial payments are always accepted under all reservations and are first applied to the collection costs, then to the penalty clause, the interest due and finally to the outstanding principal (the oldest first).
- Astro Rent may make a delivery dependent on immediate payment or require security for the total amount of the service.
10. Retention of title
Astro Rent remains the owner of all delivered products, insofar as goods are delivered. In principle, however, Astro Rent provides services in which materials are rented. Astro Rent may make use of its retention of title and take back the goods when the agreement is terminated. In such a case, Astro Rent owes the Client no compensation insofar as the agreement necessarily has to be dissolved due to the Client's default.
The Client may not pledge, sell, dispose of or otherwise encumber the products made available by Astro Rent.
11. Delivery
Astro Rent is committed to delivering high-quality temporary network solutions, fully adapted to the specific needs of each event.
On-site installation
Our team of expert technicians always comes to the Client's site to install the network according to the previously designed plan, unless otherwise agreed, so that the solution is tailored to the location and the needs of the event.
Installation time
Depending on the complexity of the network, installation usually takes between 2 and 4 hours. This is an estimate and may vary depending on the specific circumstances and needs of the event.
Commissioning
After installation, the entire network is made operational. Astro Rent ensures that all components function correctly and that the Client has full access to the network for the intended use, including testing the connections, speed and other relevant parameters.
Transport costs
The Client pays the transport costs, unless the Client and Astro Rent have agreed otherwise in writing. These costs are calculated based on the distance from the Astro Rent location (Beatrijslaan 22, 3550 Heusden-Zolder, Belgium) to the location of the event/installation, via the fastest route.
Access requirements
To ensure efficient installation, maintenance and dismantling, it is essential that Astro Rent has free access to all parts of the event where the network is operational — before, during and after the event (installation, maintenance and support, and dismantling). The Client is responsible for ensuring that Astro Rent's staff have access to the necessary locations at the agreed times or during unforeseen interventions, including arranging passes, keys or other means of access. The Client communicates any restrictions or requirements regarding access to Astro Rent in advance.
12. Insurance
The Client must adequately insure and keep insured against, among other things, fire, explosion and water damage, and theft:
- delivered items necessary for the execution of the underlying agreement;
- items of Astro Rent present at the Client's premises;
- items delivered under retention of title.
The Client provides the policy of these insurances for inspection at Astro Rent's first request.
13. Best-effort obligation
When the Client and Astro Rent have entered into an agreement of a service-providing nature, this entails only a best-effort obligation for Astro Rent and therefore no obligation of result.
Astro Rent undertakes, within the limits of what is reasonably possible, to seek alternative solutions to minimise the impact of the unavailability of third-party services and to safeguard continuity of service. However, clients acknowledge that full prevention of such situations is beyond Astro Rent's control.
Since Astro Rent relies on the services of third parties, Astro Rent cannot be held liable when third parties are unavailable at the time of execution, and is not obliged to compensate any damage, direct or indirect. The Client was expressly informed of this in advance and accepts this condition without reservation. Astro Rent does not thereby release itself from liability for its intent, its gross negligence or that of its appointees or agents.
The risk of loss, damage or theft of the products/services that Astro Rent delivers passes to the Client as soon as they are delivered legally or physically.
14. Force majeure
Force majeure refers to any extraordinary event or circumstance beyond the control of Astro Rent and the Client that wholly or partly prevents the execution of the agreement. This includes, but is not limited to, natural disasters (floods, earthquakes, storms), war, terrorism, riots, government measures (including lockdowns or travel bans), strikes, fire, explosions and significant network outages, including situations where third parties on whom Astro Rent relies make their services unavailable.
- Suspension of obligations: in the event of force majeure, obligations are suspended for the duration of the situation, without the party invoking force majeure being liable for any damage.
- Notification: the party invoking force majeure informs the other party as soon as possible of the start and expected end of the situation.
- Termination: if the force majeure situation continues for longer than 75% of the duration of the agreement, both parties have the right to terminate the agreement without compensation. The Client is entitled to a proportional refund for prepaid services that could not be delivered.
15. Limited liability for network performance
Astro Rent strives to deliver high-quality temporary network solutions, including internet access via third parties. Due to the nature of wireless and internet communication, Astro Rent cannot guarantee that the intended network speeds or the operability of the network will be ensured at all times. Factors beyond our control, such as network congestion, technical limitations of the internet provider or environmental influences, may affect performance without Astro Rent's liability, insofar as they are unforeseeable and insurmountable.
Astro Rent cannot be held liable for any direct, indirect, incidental, consequential or special damage arising from variations in network speeds, interruptions or the complete unavailability of the network. This includes, but is not limited to, loss of revenue, business opportunities, data or profit, even if Astro Rent was informed of the possibility of such damage. The Client is encouraged to discuss any specific network requirements with Astro Rent in advance.
16. Intellectual property
Astro Rent retains all intellectual property rights to all designs, drawings, writings, data carriers or other information, quotations, images, sketches, models and mock-ups, unless otherwise agreed. The Client may not show, make available to others or otherwise use these without Astro Rent's prior written consent.
17. Confidentiality
The Client keeps confidential all information, in whatever form, that it receives from Astro Rent. The same applies to all other information concerning Astro Rent that the Client knows or can reasonably suspect to be secret or confidential. The confidentiality obligation does not apply to information that was already public, became public without a breach of this obligation, or is made public on the basis of a legal obligation. This obligation applies for the duration of the agreement and for 3 years after its end.
18. Penalty clause
When the Client breaches the article on confidentiality or intellectual property, it is obliged to pay Astro Rent a fixed indemnity for each breach. If the Client is a consumer, this amounts to a minimum of 500 and a maximum of 1000 euros depending on the damage suffered. If the Client is not a consumer, this amounts to a minimum of 2500 and a maximum of 5000 euros. This is without prejudice to Astro Rent's right to assess its actual damage. In addition, the Client pays 5% of the applicable amount for each day the breach continues, without a notice of default or legal procedure being necessary.
19. Usage restrictions and network modifications
- No unauthorised modifications: the Client may not make changes to the network without Astro Rent's prior written consent (hardware, software or configuration settings).
- Respect security: the Client is prohibited from disabling or circumventing the network's security measures.
- Illegal activities: the Client is fully responsible for all consequences of illegal activities carried out via the network (unauthorised access, spreading malware, copyright infringement, fraudulent transactions, etc.).
The Client indemnifies Astro Rent against all claims, liabilities, damages, losses, costs and expenses arising from such illegal activities, including third-party claims, government fines and other sanctions. The Client informs all users about permitted and prohibited activities and fully cooperates with Astro Rent and the relevant authorities in the event of an investigation.
20. Early termination
If the Client cancels all or part of the agreement after its conclusion, it owes a fixed indemnity for the services already provided and costs incurred, as well as for the loss of profit on the work not yet carried out (a fixed 20% of the price of the part not yet executed), without prejudice to Astro Rent's right to claim higher proven damage.
If Astro Rent cancels all or part of the agreement for reasons other than force majeure or contractual breach by the Client, it owes the Client a fixed indemnity of 20%, without prejudice to the Client's right to claim higher proven damage.
The parties may suspend and terminate the agreement with immediate effect without court intervention if (i) the other party dies, (ii) the other party is the subject of an insolvency, reorganisation, liquidation or collective debt settlement procedure, or (iii) the other party commits a serious breach not corrected within 15 calendar days of a written notice of default. A serious breach includes the failure to pay due invoices and the repeated postponement of delivery without valid reason. Any balance in favour of the Client is refunded within a reasonable period.
21. Privacy and data protection
Astro Rent collects the personal data necessary to enter into and execute the agreement (name, contact details and payment information) and uses it for the execution of the agreement, managing the client relationship and customer service, and — subject to consent — sending information about relevant services and offers. Astro Rent takes appropriate technical and organisational measures and complies with the General Data Protection Regulation (GDPR). Clients have the right to access, rectification, erasure and objection. 22. Dispute resolution
Astro Rent is committed to resolving disputes in a constructive and efficient manner. Before any formal legal steps are taken, the parties attempt to resolve the dispute through mediation via a neutral third party. If mediation is unsuccessful, the parties may optionally choose arbitration; the arbitrator's decision is then binding. If disputes are brought before the court, the courts of Astro Rent's place of business have exclusive jurisdiction. The agreement is governed by Belgian law.
23. Changes to the conditions
Astro Rent reserves the right to amend or update these terms and conditions at any time to comply with legal requirements or to better align with our operations. Changes take effect on current agreements after the Client has been able to reasonably take note of them and has expressly consented to their application to the current agreement.
